1. Agreement and Acceptance

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Eltegra, Inc., a Florida corporation ("EltegraAI," "Company," "we," "us," or "our"), regarding your use of the EltegraAI platform and related services.

By accessing, downloading, installing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Definitions

"Service" means the EltegraAI cloud-based AI platform for requirements generation, analysis, and management, including all software, applications, data, text, images, and other content made available through the platform.

"User Data" means any data, content, or information uploaded, submitted, or generated by you through the Service, including business requirements documents, project specifications, and related materials.

"AI-Generated Content" means requirements documents, test cases, specifications, and other materials created by our artificial intelligence technology based on your inputs.

"Documentation" means the user guides, technical documentation, and help materials provided by EltegraAI.

3. Description of Services

EltegraAI provides a cloud-based platform that uses artificial intelligence to:

Generate business requirements documents (BRDs), product requirements documents (PRDs), and requests for proposals (RFPs)
Analyze and improve existing requirements documentation
Create test cases and validation procedures
Facilitate requirements management and traceability
Integrate with third-party development tools

The Service is hosted on Microsoft Azure infrastructure and includes both cloud-based and on-premise deployment options as specified in your subscription plan.

4. User Registration and Accounts

4.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. The Service is intended for enterprise business use only.

4.2 Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account information.

5. Permitted Use and Restrictions

5.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with your subscription plan.

5.2 Restrictions

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to reverse engineer, decompile, or disassemble any part of the Service
Use the Service to develop competing products or services
Share your account credentials with unauthorized third parties
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems or other users' data
Use the Service beyond the scope of your subscription plan
Remove or modify any proprietary notices or labels

6. User Data and Privacy

6.1 Data Ownership

You retain ownership of all User Data you submit to the Service. You grant us a limited license to use your User Data solely to provide the Service and improve our AI algorithms.

6.2 Data Processing

We process your User Data in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable. Your User Data is stored securely on Microsoft Azure infrastructure.

6.3 Data Security

We implement industry-standard security measures to protect your User Data, but we cannot guarantee absolute security. You are responsible for ensuring your User Data complies with all applicable laws and regulations.

IMPORTANT: You must not upload any personally identifiable information, health records, financial data, or other sensitive personal data unless specifically authorized by your subscription plan.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including all software, algorithms, user interfaces, and documentation, is owned by EltegraAI and protected by intellectual property laws. All rights not expressly granted to you are reserved.

7.2 AI-Generated Content

You own the AI-Generated Content created through the Service based on your User Data inputs. However, we retain the right to use aggregated, anonymized insights from AI-Generated Content to improve our algorithms.

7.3 Feedback

Any suggestions, feedback, or ideas you provide to us become our property and may be used without compensation or attribution.

8. Third-Party Integrations

The Service may integrate with third-party platforms including Microsoft Azure, Jira, Confluence, and other development tools. Your use of these integrations is subject to the third parties' respective terms of service. We are not responsible for the availability, functionality, or security of third-party services.

9. Free Trial and Subscription Terms

9.1 Free Trial

We offer a 7-day free trial to eligible new users. During the trial period, you have access to limited features as specified in your trial account. No payment information is required to start your trial.

9.2 Trial Limitations

Free trial accounts are limited to basic functionality and may have restrictions on data storage, AI processing, and integrations. Trial data will be preserved if you upgrade to a paid subscription within 30 days of trial expiration.

10. Payment and Billing

10.1 Subscription Fees

EltegraAI is offered as an online software-as-a-service platform. Pricing for paid plans, subscriptions, add-ons, usage-based features, professional services, and any applicable implementation or support services will be described on the applicable order form, checkout page, invoice, subscription plan, or separate written agreement between you and EltegraAI. Unless otherwise stated in writing, subscription fees are billed in advance and are due in accordance with the billing terms presented at the time of purchase or stated on the applicable invoice. You are responsible for all fees, taxes, duties, and other governmental charges associated with your subscription or use of the Service, except for taxes based on EltegraAI’s net income.

10.2 Payments Accepted

EltegraAI accepts payment through the payment methods made available at checkout, in your account, or on your invoice. These may include credit card, debit card, ACH transfer, wire transfer, or other payment methods approved by EltegraAI. By providing a payment method, you represent that you are authorized to use that payment method and authorize EltegraAI or its third-party payment processor to charge all applicable fees, taxes, and other amounts due for your subscription or use of the Service. If your payment method fails or your account becomes past due, EltegraAI may suspend or limit access to the Service until all outstanding amounts are paid.

10.3 Price Changes

EltegraAI may change its pricing, subscription plans, or included features from time to time. For existing paid subscriptions, any price change will take effect at the start of the next renewal period, provided that EltegraAI gives at least thirty (30) days’ prior written notice unless a different notice period is required by applicable law or agreed in writing.

11. Refund and Cancellation Policy

11.1 Refund Eligibility

You may request a full refund within seven (7) days after your initial paid subscription purchase by contacting EltegraAI support at support@eltegra.ai. Refund requests submitted after this seven (7)-day period are not eligible for a refund unless required by applicable law or expressly agreed by EltegraAI in writing.

11.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting EltegraAI support at support@eltegra.ai. Unless otherwise stated in your order form or required by law, cancellation will take effect at the end of your then-current billing period. You will continue to have access to the Service through the end of that billing period, provided your account remains in good standing. EltegraAI does not provide prorated refunds or credits for partial billing periods, unused features, unused seats, or periods during which you did not use the Service.

11.3 Refund Policy

Renewal payments, partial billing periods, add-ons, usage-based fees, professional services, implementation fees, and other one-time charges are non-refundable unless otherwise stated in an applicable order form or required by law. Approved refunds will be issued to the original payment method within approximately five (5) to ten (10) business days after approval, although the timing of funds availability may depend on your bank, card issuer, or payment provider.

11.4 Conflicts

If there is a conflict between this section and a signed order form, enterprise agreement, statement of work, or other written agreement between you and EltegraAI, the terms of the signed written agreement will control to the extent of the conflict. This section does not limit any non-waivable rights you may have under applicable law.

12. Service Availability and Support

12.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

12.2 Support

Technical support is provided according to your subscription plan. We provide support via email and documentation during standard business hours (EST).

13. Limitation of Liability

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(A) IN NO EVENT SHALL ELTEGRAAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE;

(B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM;

(C) WE ARE NOT LIABLE FOR ANY DAMAGES CAUSED BY AI INACCURACIES, ERRORS IN GENERATED CONTENT, OR DECISIONS MADE BASED ON AI OUTPUTS.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

The Service will be error-free or uninterrupted
AI-generated content will be accurate or suitable for your purposes
The Service will meet your specific requirements
Security measures will prevent all unauthorized access

15. Indemnification

You agree to indemnify and hold EltegraAI harmless from any claims, damages, losses, or expenses (including attorney fees) arising from:

Your use of the Service
Your User Data or any content you submit
Your violation of these Terms
Your violation of any third party's rights

16. Termination

16.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings.

16.2 Termination by Us

We may suspend or terminate your access immediately for violations of these Terms, non-payment, or any conduct that may harm our Service or other users.

16.3 Effect of Termination

Upon termination, your access to the Service will cease, and we may delete your User Data after a 30-day retention period, unless prohibited by law.

17. Dispute Resolution and Arbitration

17.1 Binding Arbitration

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

17.2 Arbitration Procedures

Arbitration shall be conducted by a single arbitrator in Miami, Florida. The arbitrator's decision shall be final and binding. Each party shall bear its own costs unless the arbitrator decides otherwise.

17.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitrations.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

19. General Provisions

19.1 Entire Agreement

These Terms constitute the entire agreement between you and EltegraAI regarding the Service and supersede all prior agreements.

19.2 Modifications

We may update these Terms at any time by posting revised terms on our website. Continued use of the Service after changes constitutes acceptance of the new terms.

19.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

19.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

19.5 Force Majeure

Neither party is liable for delays or failures caused by circumstances beyond their reasonable control.
